Terms of Service

1. Agreement and Purpose

These Terms of Service (hereinafter "Terms") govern the terms and procedures for using Underdoc's AI service (hereinafter "Service") provided by Spaceflo, Inc (hereinafter "Company"), and the rights, obligations, and responsibilities between the Company and the User. By agreeing to these Terms and using the Service, this agreement is established.

2. Description of Service

Underdoc's AI is a service that enables users to perform conversational search and keyword search of document content.

  • Free Users: Only search functionality for public documents is provided. Personal documents cannot be uploaded.
  • Paid Users:
    • Service can be used within the allocated usage amount.
    • Google Drive Integration: Supports conversational and keyword search for documents within a specific folder shared with read permissions.
    • Features vary by plan (Beta plan details below):

3. Pricing and Payment

  • Beta Plan: $40 per month (7-day free trial provided)
    • 10 members
    • Access all public repo
    • 10GB private repo
    • Unlimited Semantic Search
    • Unlimited Keyword Search
    • Access to advanced models
    • 5 files open simultaneously
  • Payment: Payment solution via Paddle.com.
  • Enterprise: Contact separately (Supports FTP, SMB, AWS S3, MinIO, etc.)

4. Account Management

  • Account Creation: Account creation possible through Google SSO (Single Sign-On).
  • Account Information Required: Email address.
  • Account Security: Users are responsible for protecting their account information. Users must be careful not to leak account information and must notify the Company immediately if a leak occurs.

5. User Content

  • The rights and responsibilities for documents uploaded or created by the user belong to the user.
  • User's documents are not shared with anyone other than the team members designated by the user.
  • The Company securely stores the User's content and stores files and databases separately for 6 months after the subscription ends.
  • Files and databases are deleted immediately upon user request.

6. User Compliance

  • Users shall not attempt to hack the Service, bypass security to access the Service, or modify or alter any part of the Service.
  • Users shall not attempt to access another person's account without authorization, abnormally alter or manipulate the Service, or interfere with the Service for other users.
  • Users shall not transmit viruses, worms, malware, or other malicious code that harms the Service.
  • Users must comply with all applicable laws and regulations when using the Service and shall not use the Service for illegal purposes or activities.
  • If these provisions are violated, the Company reserves the right to block the user's access to the Service or terminate the account.

7. Service Interruption and Account Termination

  • Voluntary Termination: Users may terminate their account at any time.
  • Violation of Terms: If a user violates the Terms of Service, the Company has the right to suspend the provision of the Service or terminate the user's account immediately.
  • Inactive Account: Accounts that have been inactive for a certain period of time may be automatically terminated after prior notice.
  • Business Reasons: The Company reserves the right to suspend or terminate the Service, including for business reasons, changes to the Service, or discontinuation.
  • Failure to Pay: If a user using a paid service fails to make a payment, the provision of the service may be temporarily suspended or the account may be terminated.
  • Data Management: Even after an account is terminated or the Service is terminated, the Company may retain the user's data for a certain period of time in accordance with the data retention policy, and then securely delete or anonymize the data.
  • User Notification upon Interruption: In the event of service interruption or account termination, the Company will notify the user as soon as possible and explain the reasons for the action and the response procedure.
  • Limitation of Liability: The Company's liability for data loss or other damages caused by service interruption or account termination may be limited.

8. Limitation of Liability

  • The Service is provided "as is" and "as available." The Company does not make any express or implied warranties regarding the accuracy, reliability, completeness, non-infringement, or fitness for a particular purpose of the Service.
  • In no event shall the Company be liable for any direct, indirect, incidental, special, or consequential damages, including data loss, loss of profits, loss of use, or loss of other intangible assets.
  • In any case, the Company's total liability shall not exceed the service fee paid directly by the user.
  • The Company is not liable for damages that are not reasonably foreseeable.
  • The Company is not liable for failure to provide the Service due to natural disasters, war, terrorism, riots, labor disputes, government actions, or other circumstances beyond its reasonable control.
  • The Company is not involved in disputes between users and is indemnified from damages or costs arising from such disputes.

9. Changes to the Terms

The Company may change these Terms as necessary, and the changes will be posted on the website or notified to users by email. Users will be explicitly notified of any material changes.
